1. Overview

These Terms of Service (“Terms”) govern your participation in the Sundays for Dogs VIP Membership Program (“Membership” or “Program”). By enrolling in the Program, you agree to be bound by these Terms, as well as the Sundays for Dogs general Terms of Service and Privacy Policy. Please read these Terms carefully before joining.

The Membership is an annual, fee-based loyalty program offered by Sundays for Dogs, Inc. (“Sundays,” “we,” “us,” or “our”) that provides enrolled members (“Members”) with scheduled rewards, quarterly account credits, and service perks in exchange for a recurring annual membership fee.

2. Eligibility

The Membership is available to individuals who are at least eighteen (18) years of age, reside in the United States, and maintain an active Sundays for Dogs subscription at the time of enrollment and throughout the membership term. Sundays reserves the right to limit enrollment to specific customer segments during pilot or limited-availability periods. Only one Membership may be held per household or shipping address.

3. Enrollment and Membership Fee

The annual membership fee is $99.00 (or such other amount as may be displayed at the time of enrollment). The fee is charged in full at the time of enrollment and covers a twelve (12) month membership term beginning on the date of enrollment (“Membership Term”). Membership fees are non-refundable except where required by applicable law. Enrollment is not complete until Sundays has confirmed your membership and processed payment in full.

4. Cancellation

You may cancel your Membership at any time through any of the following methods: (a) through the online cancellation mechanism available in your account settings at sundays.com, which will be at least as easy to use as the enrollment process; (b) by contacting customer support by email; or (c) by contacting customer support by telephone. Because enrollment in the Membership occurs online, Sundays will maintain a prominently located, easy-to-use online cancellation mechanism that does not require interaction with a live customer service representative and that processes the cancellation immediately upon submission. If Sundays presents any offers, incentives, or reasons to continue the Membership during the cancellation process, a clearly labeled option to complete the cancellation (e.g., a “Cancel Membership” button) will be simultaneously and prominently displayed alongside any such offer. Voicemail cancellation requests will be honored within one (1) business day of receipt. Cancellation will take effect at the end of your current Membership Term, and you will continue to receive eligible benefits through the remainder of that term, subject to Section 7 below.

5. Membership Benefits

During your Membership Term, you are entitled to receive the following benefits, subject to availability and the timing schedule described herein:

Welcome Gift (upon enrollment). A Sundays bowl and scooper set shipped following enrollment confirmation. Size corresponds to the dog profile associated with your account.

Quarterly Credit (every 90 days). A $25.00 Sundays store credit issued to your account approximately every ninety (90) days following enrollment, totaling up to $100.00 in credits per Membership Term. Credits are applied automatically to eligible Sundays orders and expire ninety (90) days after issuance. Credits have no cash value, are non-transferable, and may not be redeemed for cash or applied to the membership fee itself. Unused credits do not roll over upon expiration or cancellation.

Fi Smart Dog Collar (Month 3). One (1) Fi smart dog collar shipped approximately three (3) months after enrollment, subject to vendor availability. Collar subscription or activation fees charged by the collar manufacturer, if any, are the sole responsibility of the Member.

Microbiome Gut Health Test (Month 6). One (1) dog gut health microbiome test kit shipped approximately six (6) months after enrollment. Test results and analysis are provided by a third-party vendor and are subject to that vendor’s terms of service and privacy practices. Sundays does not provide veterinary advice and makes no medical claims based on test results.

Anniversary Gift (Month 12). One (1) premium gift shipped near the conclusion of your Membership Term. The nature and value of anniversary gifts are determined at Sundays’ sole discretion.

Exclusive Early Access. Priority access to new product launches, recipes, and formats as they become available to the Membership community.

6. Benefit Stacking and Limitations

Membership benefits, including quarterly credits, may be used in conjunction with your existing Sundays subscription discount unless otherwise specified. Sundays reserves the right to establish rules regarding the stacking of membership credits with promotional codes, referral credits, or other discounts. Any such rules will be communicated to Members in advance. Membership benefits are for personal, non-commercial use only and may not be resold, transferred, or shared outside the Member’s household.

7. Forfeiture of Unshipped Benefits Upon Cancellation

If your Sundays subscription is canceled or your Membership is otherwise terminated prior to the end of your Membership Term, any benefits that have not yet shipped or been issued to your account as of the cancellation effective date are forfeited and will not be provided. For the avoidance of doubt, this includes but is not limited to the Fi collar, microbiome test kit, anniversary gift, and any unissued quarterly credits. Benefits that have already shipped or been credited to your account prior to cancellation remain yours.

8. Shipping and Delivery

Sundays will make commercially reasonable efforts to deliver physical membership benefits within the timeframes described above. However, delivery estimates are approximate and are not guarantees. Sundays is not liable for delays caused by shipping carriers, third-party vendors, weather events, supply chain disruptions, or other circumstances beyond our reasonable control. Where possible, physical perks may be bundled with your regular food shipments to streamline delivery.

9. Modifications to the Program

We reserve the right to modify, suspend, or discontinue the Membership Program or any associated benefits at any time. If we make material changes that reduce the overall value of the Program during your current Membership Term, we will provide you with at least thirty (30) days’ prior written notice (via the email address associated with your account). In the event of a material adverse change, you may cancel your Membership and receive a pro-rata refund of your membership fee for the unused portion of your Membership Term. Immaterial changes, including substitutions of benefits of comparable value, adjustments to delivery timing, or the addition of new benefits, may be made without advance notice.

10. Termination by Sundays

Sundays reserves the right to refuse, suspend, or terminate any Membership at any time if we reasonably determine that a Member has engaged in abuse of the Program, fraudulent activity, violation of these Terms, violation of our general Terms of Service, or conduct that is harmful to Sundays, its vendors, or other Members. In the event of termination for cause, no refund of the membership fee will be provided.

11. Third-Party Products and Services

Certain Membership benefits, including the Fi smart collar and the microbiome gut health test, are provided by third-party vendors. Sundays facilitates access to these products as part of the Membership but does not manufacture, warrant, or control third-party products or services. Your use of third-party products is subject to the applicable third party’s terms of service, warranty, and privacy policy. Sundays disclaims all liability arising from or related to your use of third-party products and services.

12. Disclaimer of Warranties

The Membership Program and all associated benefits are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Sundays disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sundays does not warrant that benefits will be delivered without interruption or error, or that any particular health outcome will result from the use of any membership benefit, including the microbiome test.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Sundays’ total aggregate liability arising out of or relating to the Membership Program shall not exceed the membership fee paid by you for the then-current Membership Term. In no event shall Sundays be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Membership Program.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [________], without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Membership Program shall be resolved in accordance with the dispute resolution provisions set forth in the Sundays for Dogs general Terms of Service.

NOTES for Sundays Compliance:

Pre-Enrollment Disclosure

Before collecting any billing or payment information, Sundays will clearly and conspicuously present to the prospective Member all material terms of the Membership, including: (a) the annual membership fee; (b) that the Membership will automatically renew, if applicable, on an annual basis until canceled; (c) the cancellation policy and procedure; (d) the frequency and amount of recurring charges; and (e) a description of the benefits included in the Membership. These disclosures will be displayed in visual proximity to the request for the prospective Member’s consent to enroll.

Affirmative Consent

Enrollment in the Membership requires the prospective Member’s express, affirmative consent to any automatic renewal terms described herein. Such consent must be provided through a clear, affirmative act (such as checking an unchecked checkbox or clicking a dedicated consent button) that is separate and distinct from the prospective Member’s acceptance of Sundays’ general Terms of Service. Sundays will not use pre-checked boxes, bundled consents, or any mechanism that treats silence or inaction as acceptance of any automatic renewal terms.

Post-Enrollment Acknowledgment

Promptly following enrollment, Sundays will send the Member a written acknowledgment (via the email address associated with the Member’s account) in a format that is capable of being retained by the Member. The acknowledgment will include: (a) the automatic renewal terms, if applicable; (b) the cancellation policy and procedure, including instructions for how to cancel; (c) the amount and frequency of recurring charges; (d) a description of the Membership benefits and their anticipated delivery schedule; and (e) contact information for customer support. This acknowledgment satisfies the post-purchase confirmation requirements applicable under the laws of all U.S. jurisdictions in which Sundays operates.

Recordkeeping

Sundays will retain verifiable records of each Member’s affirmative consent to any automatic renewal terms, including the date, time, and method of consent, for the longer of three (3) years from the date of consent or one (1) year following the termination or cancellation of the Member’s Membership.
